Public offer agreement for the sale of goods

This document is an official public offer to conclude a distance sales contract on the terms set out below. The Seller is Individual Entrepreneur Yurii Prepodobnyi, taxpayer number (RNOKPP) 3440812536.
1. General provisions
1.1. This Agreement is a public contract (public offer) within the meaning of Articles 633, 641 and 642 of the Civil Code of Ukraine and the Law of Ukraine “On Electronic Commerce”, and contains all material terms for the distance sale of goods.
1.2. The Seller is Individual Entrepreneur Yurii Prepodobnyi, taxpayer number (RNOKPP) 3440812536, address: 40 Khutorivka St., apt. 103, Lviv, 79070, Ukraine (the “Seller”, “we”).
1.3. The Website is owned and operated by LIMITED LIABILITY COMPANY "SKEIRON", registration code (EDRPOU) 40358486 — rules for using the Website are set out in the Terms of Use.
1.4. The Buyer is a legally capable individual aged 18 or over, or a legal entity, who places an Order on https://skeiron.com.ua (the “Website”).
1.5. Acceptance of this offer (full and unconditional acceptance of its terms) occurs when the Buyer places an Order by clicking “Place order”. From that moment the Agreement is deemed concluded in writing under Article 11 of the Law of Ukraine “On Electronic Commerce”.
1.6. By placing an Order the Buyer confirms that they have read and accept this Agreement, the Privacy Policy, the Delivery and Payment terms and the Returns and Exchanges terms.
2. Subject of the agreement
2.1. The Seller undertakes to transfer ownership of the goods (souvenirs, printed and other products presented on the Website) to the Buyer, and the Buyer undertakes to accept the goods and pay their price on the terms of this Agreement.
2.2. The description, specifications, contents and price of each item are stated on its Website page. Product images are illustrative: minor differences in shade, texture or finish caused by the production process or the Buyer’s screen settings are not defects.
2.3. The Seller is not the manufacturer of every item offered, unless expressly stated on the product page.
3. Placing an order
3.1. The Buyer places an Order on the Website by selecting the goods, the delivery method, the payment method and providing the data required for delivery.
3.2. The Buyer is responsible for the accuracy of the data provided. The Seller is not liable for failed delivery caused by incorrect data.
3.3. After placing an Order the Buyer receives a confirmation with the Order number. The Seller may contact the Buyer on the phone number provided to confirm or clarify the Order.
3.4. The Seller may decline to fulfil an Order if the item is out of stock, if there is a technical error in its price or description, or if the Order shows signs of fraud. In such a case any amount paid is refunded in full.
3.5. The Buyer may cancel an Order before the goods are handed over to the carrier — contact us using the details in section 11.
4. Price and payment
4.1. Prices on the Website are stated in Ukrainian hryvnia (UAH) and include all taxes and mandatory charges required by Ukrainian law. Delivery costs are not included in the price of the goods and are paid separately.
4.2. The price is fixed at the moment the Order is placed and is not subject to change thereafter.
4.3. Available payment methods:
- online card payment via the plata by mono internet acquiring service (JSC UNIVERSAL BANK), Visa and Mastercard;
- cash on delivery — where this option is available for the selected delivery method.
4.4. Card payments are processed on the secure payment page of the acquiring bank. The Seller does not receive, process or store the Buyer’s card details.
4.5. An Order paid online is considered paid once the funds are credited and the Seller receives confirmation from the payment service. If payment is not received before the payment link expires, the Order is cancelled automatically.
4.6. A fiscal receipt is provided electronically in accordance with the Law of Ukraine “On the Use of Payment Transaction Recorders in Trade, Catering and Services”.
5. Delivery
5.1. Delivery is carried out by Nova Poshta (to a branch, a parcel locker or by courier to an address) or by self-pickup at: 114 Yevhena Konovaltsia St., Lviv, 79057, Ukraine.
5.2. Orders are dispatched within 2–5 business days of being placed (for prepaid orders — from the moment payment is received). Transit time is determined by the carrier’s terms.
5.3. Delivery costs are calculated according to the carrier’s tariffs and, unless stated otherwise on the Website, are paid by the Buyer.
5.4. The risk of accidental loss or damage passes to the Buyer once the goods are handed over to the Buyer or to the carrier.
5.5. The Buyer must check the integrity of the packaging and the completeness of the goods on receipt. If damage is found, a report must be drawn up in the presence of the carrier’s representative.
5.6. Detailed terms are set out in the “Delivery and payment” section, which forms an integral part of this Agreement.
6. Rights and obligations of the parties
The Seller undertakes to:
- deliver goods matching the description on the Website, in the quality and completeness expected of such goods;
- provide a payment document together with the goods;
- process the Buyer’s personal data in accordance with the Privacy Policy.
The Buyer undertakes to:
- provide accurate data for processing and delivering the Order;
- accept the goods and pay their price and the delivery cost;
- read the terms of this Agreement before placing an Order.
6.1. The Seller may change the assortment, prices and promotion terms without prior notice; such changes do not affect Orders already placed.
7. Returns and refunds
7.1. A Buyer who is a consumer may withdraw from a distance contract and return goods of proper quality within 14 days of receipt (Article 9 of the Law of Ukraine “On Consumer Protection”), provided the goods retain their presentation, consumer properties, seals, labels and completeness.
7.2. The list of goods that cannot be returned, the procedure and refund deadlines are set out in the “Returns and exchanges” section, which forms an integral part of this Agreement.
7.3. Refunds are issued using the same method as the original payment: for online card payments — back to the same card via the payment service.
8. Liability and force majeure
8.1. The parties are liable for failure to perform or improper performance of this Agreement in accordance with Ukrainian law.
8.2. The Seller is not liable for damage caused by improper use of the goods, nor for the operation of third-party services (carrier, payment service, telecom operators).
8.3. The parties are released from liability for non-performance caused by force majeure — including hostilities, armed aggression, emergency power outages and decisions of public authorities — for the duration of such circumstances.
9. Personal data
9.1. By placing an Order the Buyer consents to the processing of their personal data for the purpose of performing this Agreement, in accordance with the Law of Ukraine “On Personal Data Protection”.
9.2. The scope of data, purposes, retention periods, recipients and the Buyer’s rights are described in detail in the Privacy Policy.
10. Term, amendments and disputes
10.1. The Agreement is effective from acceptance until the parties have fully performed their obligations.
10.2. The Seller may amend this Agreement unilaterally by publishing a new version on this page. Amendments take effect upon publication and do not apply to Orders placed earlier.
10.3. Disputes are settled through negotiation and, failing agreement, in court under Ukrainian law. Ukrainian law applies.
10.4. A consumer may also apply to the State Service of Ukraine for Food Safety and Consumer Protection, or to a court at their place of residence.
